In these Terms of Service ("Terms"), the following definitions apply:
By installing the Service, creating an account, initiating a Subscription, or otherwise accessing any feature of the Service, you enter into a legally binding agreement with the Operator on the terms set out herein. These Terms apply to all Users, including Free tier users and Subscription holders.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and references to "you" shall refer to that entity.
The Operator reserves the right to modify these Terms at any time. Modifications will be effective upon posting to tact.center/terms. Your continued use of the Service following any such modification constitutes acceptance of the revised Terms. Where a modification is material, the Operator will use reasonable endeavours to provide notice via email to registered Subscription holders.
Tact is a browser extension for Chrome and Firefox that enables Users to highlight text within a browser window and receive an AI-generated tone analysis of that text, together with optional AI-generated rewrites in a selected mood or register. The Service communicates with a hosted backend API to deliver analysis and rewrite functionality.
The Service is provided on an "as available" basis. The Operator does not warrant that the Service will be uninterrupted, error-free, or available at any particular time. The Operator reserves the right to modify, suspend, or discontinue any feature of the Service at any time without liability to Users.
The Service is intended for users aged 13 years or older. By using the Service, you represent and warrant that you meet this age requirement. The Service is not directed at children under the age of 13, and the Operator does not knowingly collect data from such individuals.
Free tier access requires no registration. Subscription access requires provision of a valid email address and payment details to Paddle. You are responsible for maintaining the confidentiality of any account credentials and for all activity conducted through your account.
The Service is offered under the following access tiers, subject to change with reasonable notice:
The Operator reserves the right to adjust usage limits with thirty (30) days' written notice to affected Subscription holders. Limits are enforced automatically by the Service. The Operator accepts no liability for any loss arising from a User reaching applicable limits.
All Subscription payments are processed by Paddle, who acts as Merchant of Record for all transactions. By initiating a Subscription, you agree to Paddle's Terms of Service and Privacy Policy, available at paddle.com, in addition to these Terms. The Operator does not process, store, or have access to your payment card details at any time.
All prices are denominated in United States Dollars (USD) unless otherwise stated. Applicable taxes, including but not limited to GST, VAT, and sales tax, are calculated and remitted by Paddle in accordance with applicable law in your jurisdiction.
Subscriptions are billed on a recurring monthly basis from the date of initial purchase. Subscriptions renew automatically unless cancelled prior to the renewal date. You may cancel your Subscription at any time through your account settings; cancellation takes effect at the end of the then-current billing period, and no partial-period refunds are available except as set out in Clause 7.
Early Adopter Pricing: The first two hundred and fifty (250) subscribers to the Core tier will receive a promotional rate of one United States Dollar (USD $1.00) per month for a period of three (3) months from the date of their initial Subscription. This promotional rate is applied automatically at checkout and is limited to 250 redemptions in total. Upon expiry of the three-month promotional period, the Subscription will automatically renew at the then-current standard rate. The Operator will provide no less than fourteen (14) days' advance notice of the rate change prior to the promotional period expiry.
You are entitled to a full refund of any Subscription fee paid if you submit a refund request within fourteen (14) calendar days of the date of your initial Subscription purchase or any subsequent renewal. Refund requests submitted within this period will be honoured in full, without condition or exception.
To submit a refund request, contact [email protected] with your registered email address and the date of purchase. Refunds are processed by Paddle as Merchant of Record and will be returned to the original payment method. Processing times are subject to Paddle's refund procedures.
You agree to use the Service solely for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree that you will not:
The Operator reserves the right to suspend or permanently terminate access to the Service, without refund, for any User found to be in breach of this Clause.
All intellectual property rights in and to the Service, including but not limited to the software, source code, user interface, design, trademarks, and branding associated with Tact, are owned by or licensed to the Operator. Nothing in these Terms transfers any such rights to you.
Subject to your compliance with these Terms and, where applicable, payment of applicable Subscription fees, the Operator grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Service solely for your personal or internal professional purposes.
You retain all ownership rights in and to any Content you submit to the Service. By submitting Content, you grant the Operator a limited, transient licence to process that Content solely for the purpose of delivering the requested Output. This licence terminates immediately upon delivery of the Output and does not extend to storage, retention, or any secondary use of the Content.
The Service uses artificial intelligence models, including Anthropic's Claude, to generate tone analysis and rewrite Output. You acknowledge and agree that:
The Service integrates with or relies upon third-party services including, without limitation, Anthropic (AI processing), Paddle (payment processing), and Railway (infrastructure hosting). Your use of such third-party services is governed by their respective terms of service and privacy policies, over which the Operator has no control. The Operator accepts no responsibility or liability for the acts or omissions of any third-party service provider.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
THE OPERATOR DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY OUTPUT WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF THE OPERATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE OPERATOR'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO THE OPERATOR IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WHERE YOU ARE A FREE TIER USER, THE OPERATOR'S TOTAL LIABILITY SHALL NOT EXCEED SGD 10.00.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages; in such jurisdictions, the Operator's liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Kelvin Yap Jia Hao, trading as Tact, and his agents and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) any Content you submit to the Service.
The Operator may suspend or terminate your access to the Service immediately and without prior notice if: (a) you breach any provision of these Terms; (b) the Operator is required to do so by law; or (c) the Operator elects to discontinue the Service in whole or in part.
Upon termination, your licence to use the Service ceases immediately. Clauses that by their nature should survive termination, including Clauses 9, 10, 12, 13, 14, and 16, shall so survive.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of the Republic of Singapore. You irrevocably submit to the personal jurisdiction of such courts for this purpose.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible.
No failure or delay by the Operator in exercising any right under these Terms shall constitute a waiver of that right. No single or partial exercise of any right shall preclude any other or further exercise thereof.
These Terms, together with the Privacy Policy at tact.center/privacy, constitute the entire agreement between you and Kelvin Yap Jia Hao, trading as Tact, with respect to the Service and supersede all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, whether written or oral, relating to the subject matter hereof.
